Information Services & Information Systems, LLC End User License Agreement and Terms of Usage
By using our website and/or software ("Digital Products"), you agree to adhere to and be bound by the following terms and conditions. The term "Information Services & Information Systems", "us", or "our" refers to Information Services & Information Systems, LLC, the legal name of the owner of this Digital Product. The term "you" refers to the user of our Digital Product. PLEASE READ THIS DOCUMENT CAREFULLY BEFORE USING OUR DIGITAL PRODUCTS. BY USING OUR DIGITAL PRODUCTS, YOU AGREE TO BE BOUND BY THE TERMS AND CONDITIONS SET FORTH BELOW. IF YOU DO NOT DESIRE TO BE BOUND BY THESE TERMS AND CONDITIONS, YOU ARE NOT PERMITTED TO USE OUR DIGITAL PRODUCTS. THIS AGREEMENT CONSTITUTES THE ENTIRE AND ONLY AGREEMENT BETWEEN YOU AND US, AND SUPERSEDES ALL PRIOR OR CONTEMPORANEOUS AGREEMENTS, REPRESENTATIONS, WARRANTIES AND UNDERSTANDINGS WITH RESPECT TO OUR DIGITAL PRODUCTS AND SERVICES, AND THE SUBJECT MATTER OF THIS AGREEMENT. THIS AGREEMENT MAY BE MODIFIED BY US AT ANY TIME WITHOUT NOTICE TO YOU. THE LATEST AGREEMENT POSTED AT THE RELEVANT PART OF THE COMPANY WEBSITE SHOULD BE REVIEWED PERIODICALLY.
1. Copyright, Licenses, and Trademarks.
The entire contents of our Digital Products are protected by international copyright and trademark laws. The owners of these copyrights and trademarks are Information Services & Information Systems, its affiliates, or third party licensors. The copying, redistribution, use, or publication by you or others of any parts of our Digital Products without written permission is strictly prohibited. You do not acquire ownership rights to any of our Digital Products. In the case of software purchased from us, you aquire a non-exclusive, non-transferable, limited license (without the right to sublicense) to download and use our software for storage and execution on one machine at a time, with the right to archive one copy for backup purposes.
2. Use of the Digital Products and Limitation of Liability.
You understand that Information Services & Information Systems cannot and does not guarantee or warrant that files available for downloading from our systems will be free of viruses, worms, or other code that manifests contaminating or destructive properties. You are responsible for safeguarding your systems and equipment for the sanctity of data, and for backing up your data in the case of disaster.
YOU ASSUME ALL RISK AND RESPONSIBILTIY FOR USING OUR DIGITAL PRODUCTS. Information Services & Information Systems PROVIDES THES PRODUCTS "AS IS" AND DOES NOT MAKE ANY EXPRESS OR IMPLIED WARRANTIES, REPRESENTATIONS OR ENDORSEMENTS WHATSOEVER WITH REGARD TO OUR DIGITAL PRODUCTS OR ANY DATA MANIPULATED BY OR GENERATED BY OUR PRODUCTS. Information Services & Information Systems SHALL NOT BE LIABLE FOR ANY COSTS OR DAMAGES ARISING EITHER DIRECTLY OR INDIRECTLY FROM ANY USE OF OUR DIGITAL PRODUCTS. IT IS SOLELY YOUR RESPONSIBILITY TO VERIFY THE SUCCESSFUL OPERATION OF OUR SOFTWARE AND TO ENSURE THE SAFETY OF YOUR SYSTEMS. Information Services & Information Systems DOES NOT WARRANT THAT OUR DIGITAL PRODUCTS WILL BE UNINTERRUPTED OR ERROR-FREE OR THAT DEFECTS IN OUR DIGITAL PRODUCTS WILL BE CORRECTED. IN OTHER WORDS, WE ARE NOT RESPONSIBLE FOR ANY COSTS OR DAMAGES IN ANY SITUATION WHATSOEVER.
LIMITATION OF LIABILITY
IN NO EVENT WILL Information Services & Information Systems BE LIABLE FOR ANY INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR INDIRECT DAMAGES (INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OR INTERRUPTION OF BUSINESS, LOSS OF PROFITS, LOSS OF PROGRAMS OR INFORMATION, AND THE LIKE) ARISING OUT OF THE USE OF OR INABILITY TO USE OUR DIGITAL PRODUCTS, OR ANY DELAYS CAUSED BY OR INFORMATION OR OUTPUT PROVIDED BY OUR PRODUCTS, EVEN IF Information Services & Information Systems HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE AGGREGATE LIABILITY OF US AND THE AFFILIATED PARTIES IN CONNECTION WITH ANY CLAIM ARISING OUT OF OR RELATING TO ANY DIGITAL PRODUCT SHALL NOT EXCEED THE PURCHASE PRICE OF THAT PRODUCT AND THAT AMOUNT SHALL BE IN LIEU OF ALL OTHER REMEDIES WHICH YOU MAY HAVE AGAINST US AND ANY AFFILIATED PARTY.
3. Idemnification.
You agree to idemnify, defend, and hold harmless Information Services & Information Systems, its officers, directors, employees, agents, licensors, suppliers, and any third party affiliated with Information Services & Information Systems from and against all losses, expenses, damages and costs, including attorneys' fees resulting from any violation of this Agreement (including negligent and/or wrongful conduct) by you or any other person using our Digital Products.
4. Miscellaneous.
This Agreement shall be treated as though it were executed and performed in Richmond, Virginia, and shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia without regard to conflict of law principles. Any cause of action by you must be instituted within one (1) month (or the minimal time permissible) after the cause of action arose or be forever waived and barred. This Agreement as well as any related information about you or your services may be assigned by us in our sole discretion to a third party in the event of an aquisition, sale, or merger. If any provision in this Agreement is held illegal, invalid or unenforceable, it shall be enforced to the maximum extent permissible, and the other provisions of this Agreement shall remain in full force and effect. Our failure to enforce any provision of this Agreement shall not be deemed a waiver of tha provision nor of the right to enforce the provision. Our rights under this Agreement shall survive any termination of this Agreement. Information Services & Information Systems may assign its rights and duties under this Agreement to any party at any time without notice to you.
